These Affiliate Terms of Service ("Terms") govern your participation in the Ask Better Affiliate Program (the "Program") operated by The Clarity Practice Pte. Ltd. (UEN 202344810G), Singapore ("Company", "we", "us"). By applying to or participating in the Program, you ("Affiliate", "you") agree to these Terms.
1. Eligibility
To participate in the Program you must:
- Be at least 18 years old or the age of majority in your jurisdiction, whichever is higher
- Have a legitimate platform, audience, or professional context relevant to coaching, personal development, or related fields
- Provide accurate registration information
- Hold and maintain any professional credentials (e.g. ICF, EMCC, ICCAC) you claim to hold when promoting Ask Better
- Not be located in a country or territory sanctioned by the United Nations, United States, United Kingdom, European Union, or Singapore, or any other jurisdiction in which participation in the Program would be prohibited by applicable sanctions, export control, or trade compliance laws
We may reject any application or terminate any Affiliate at our sole discretion, with or without cause.
2. Commissions
- Rate: 25% of the net amount paid by a referred customer for a one-time purchase of Ask Better.
- Net amount means the gross sale price excluding sales taxes, payment processing fees (including Stripe fees charged in the customer's local currency or otherwise), refunds, and chargebacks.
- Attribution window: 30 days. A sale qualifies if it is made by a customer who clicked your unique referral link within 30 days prior to purchase.
- One-time only: Commissions are paid on the customer's initial purchase only. Ask Better is a one-time product; there are no recurring commissions.
- Self-referrals are not permitted. Purchases made by you, your immediate family, or accounts you control (including secondary email addresses, company accounts, and accounts registered at your address) will not generate commissions. If we detect systematic self-referral, cookie stuffing, or click fraud, we will terminate your participation immediately and may forfeit all unpaid commissions. We may also pursue recovery of any commissions already paid.
3. Payouts
- Payout schedule: NET-30 from the end of each calendar month. Commissions earned in a given month are paid by the end of the following month, subject to clearance of the underlying transaction and the force majeure provisions in Section 18.
- Minimum threshold: USD $50. Balances below the threshold roll over to the next payout cycle.
- Balances on termination: If your participation is terminated and your earned balance is below USD $50, that balance is forfeited unless you submit a written request within 90 days of termination, which we will consider on a case-by-case basis.
- Method: PayPal or Wise, selected at sign-up. We may add additional methods over time.
- Currency: All commissions are calculated and paid in USD, as reported by Tolt. Conversion to your local currency is your responsibility and at your cost. We are not liable for exchange rate fluctuations between the date a commission is earned and the date it is paid.
- Payment processing fees: The customer's purchase may be processed by Stripe in the customer's local currency. Payment processing fees (including any currency conversion fees charged by Stripe) are deducted from the gross sale price before the net amount is calculated. You acknowledge that the net amount on which your commission is based may therefore vary depending on the customer's payment currency and Stripe's applicable fees.
- Taxes: You are solely responsible for reporting and paying any income, withholding, or other taxes arising from commissions. We will request proof of tax residency or equivalent documentation before payment, as follows:
- For US-resident affiliates: Form W-9 or W-8BEN-E
- For Singapore-resident affiliates: Tax reference number (e.g. NRIC/FIN)
- For all other jurisdictions: Equivalent tax residency documentation as required by applicable law
- Tax withholding: We reserve the right to withhold taxes from commission payments where required by applicable law in any jurisdiction. Any amount withheld will be reported to the relevant tax authority. If you provide valid exemption documentation, withholding will be adjusted accordingly.
- Failure to provide timely tax documentation may result in payment withholding until documentation is received.
4. Refunds and Chargebacks
If a referred customer receives a refund, files a chargeback, or otherwise reverses their payment, the related commission will be deducted from your next payout. If your balance is negative, we may withhold future commissions until the negative balance is cleared, or invoice you for the difference at our discretion.
5. Tracking and Disputes
We use Tolt as our third-party affiliate tracking partner. By participating in the Program, you agree to the following:
- Commissions are determined by Tolt's tracking records. We rely on Tolt's systems and do not independently warrant their accuracy, but will work with Tolt in good faith to investigate disputes.
- You must use only the unique referral link generated by Tolt for tracking. Manual claims for commissions without a valid Tolt referral record will not be honoured.
- Dispute window: If you dispute a commission calculation or tracking error, you must notify us in writing within 30 days of the relevant payout statement. Disputes raised after 30 days are waived.
- Tolt's terms of service apply to your use of Tolt's tracking link and dashboard. You are responsible for compliance with Tolt's terms.
6. Affiliate Obligations
You agree to:
- Disclose your affiliate relationship clearly and conspicuously in any promotion, in line with FTC, ASA, ICF, and similar advertising guidelines applicable in your jurisdiction.
- Promote Ask Better honestly, accurately, and in line with materials we provide.
- Use only the unique referral link generated by Tolt for tracking.
- Comply with all applicable laws, regulations, and platform policies (e.g. LinkedIn, Instagram, YouTube terms of service).
- Ensure that any person you refer to Ask Better is at least 18 years old (or the age of majority in their jurisdiction, whichever is higher) and that coaches using Ask Better comply with their professional body's code of ethics (e.g. ICF Code of Ethics, EMCC Global Code of Ethics).
- Notify us promptly of any complaint or claim arising from your promotion of Ask Better.
7. Prohibited Activities
You will not:
- Make medical, clinical, or mental-health treatment claims about Ask Better. Specifically, you must not represent Ask Better as therapy, counselling, psychiatric treatment, clinical diagnosis, or any form of mental health intervention. You may describe Ask Better as a coaching education tool that supports professional coaching practice, provided you comply with ICF Code of Ethics and do not promise clinical outcomes. Ask Better is a coaching education tool. It is not therapy, counselling, mental health treatment, or medical advice. Do not represent it as such.
- Promise specific results, outcomes, income increases, or guaranteed credentialing.
- Bid on, register, or use the trademarks "Ask Better", "AskBetter", or "The Clarity Practice" (or close variations) in paid search, display ads, or domain names.
- Register domains, social media handles, or app store listings that incorporate our trademarks.
- Send unsolicited direct outreach (email, SMS, DM) to individuals who have not explicitly opted in to receive marketing from you. You may promote Ask Better to your existing newsletter subscribers or followers only if you have their prior consent. You must comply with Singapore's Personal Data Protection Act (PDPA), the EU General Data Protection Regulation (GDPR), the US CAN-SPAM Act, and equivalent data protection and anti-spam laws in your jurisdiction.
- Engage in cookie stuffing, click fraud, fake referrals, or any other manipulation of the tracking system.
- Offer cash rebates, points, or other monetary incentives in exchange for using your referral link.
- Promote Ask Better to anyone under 18 (or the age of majority in their jurisdiction, whichever is higher), or in any context targeted at minors.
- Misrepresent your relationship with Ask Better or The Clarity Practice (you are not an employee, agent, or representative).
- Make false, misleading, or bad-faith public statements about Ask Better or The Clarity Practice with intent to harm our reputation or business. Honest criticism or negative reviews are permitted; intentional misrepresentation is not.
We may withhold or revoke commissions and terminate your participation immediately for any breach.
8. Brand Use
We grant you a limited, revocable, non-exclusive licence to use the "Ask Better" name and approved marketing materials solely for the purpose of promoting Ask Better as an Affiliate under these Terms. This licence ends when your participation in the Program ends. All goodwill arising from your use of our marks accrues to us.
9. Independent Contractor
You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship between you and the Company. You have no authority to bind the Company in any way.
10. Confidentiality
Sales data, customer information, internal commission rates, conversion metrics, and any non-public information you receive through the Program are confidential. You may not disclose them to third parties or use them for any purpose other than your participation in the Program.
11. Data Privacy
Your personal data (including name, email address, tax information, and payment details) is collected and processed solely to administer the Program and pay commissions. We comply with the Personal Data Protection Act 2012 (PDPA) of Singapore. Where your personal data is subject to data protection laws other than the PDPA (including the EU General Data Protection Regulation), we will process your data in accordance with those applicable laws.
Your data will not be shared with third parties except as necessary to process payments (e.g. PayPal, Wise), operate the tracking system (Tolt), or as required by law.

You are responsible for ensuring that your own collection and processing of personal data in connection with your promotional activities complies with the PDPA, GDPR, and equivalent data protection laws in your jurisdiction.
12. Anti-Bribery and Anti-Corruption
You will comply with all applicable anti-bribery and anti-corruption laws, including the Singapore Prevention of Corruption Act (Cap. 241), the UK Bribery Act 2010, and the US Foreign Corrupt Practices Act (where applicable). You will not offer, promise, give, or accept any bribe, kickback, or other improper payment in connection with the Program.
13. Representations and Warranties
By participating in the Program, you represent and warrant that:
- You have the legal capacity and authority to enter into these Terms.
- You have the right to use the platforms, audiences, and channels through which you promote Ask Better.
- You will comply with all applicable laws, regulations, and platform policies.
- Your promotional activities will not infringe or violate any third-party intellectual property rights, privacy rights, or other legal rights.
- All information you provide in connection with the Program is accurate and complete.
14. Termination
Either party may terminate participation at any time, with or without cause, by written notice (email is sufficient). Upon termination:
- Your tracking link is deactivated and no further commissions accrue.
- Earned commissions above the minimum threshold will be paid in the next regular payout cycle, subject to clawback for refunds.
- Sections 4, 5, 7, 8, 9, 10, 11, 12, 15, 16, 17, 18, 19, and 20 survive termination.
We may terminate immediately and forfeit any unpaid commissions if you breach these Terms.
15. Disclaimer
The Program is provided "as is". We do not guarantee any level of traffic, sales, or earnings. Your earnings depend on your own efforts, audience, and market conditions.
16. Limitation of Liability
To the fullest extent permitted by law, neither party's aggregate liability arising out of or in connection with the Program will exceed the total commissions earned and paid in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages.
This limitation does not apply to claims arising from either party's gross negligence, fraud, wilful misconduct, or breach of confidentiality obligations under Section 10.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore.
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Arbitration Rules in force at the time of filing. The seat of arbitration shall be Singapore. The tribunal shall consist of a sole arbitrator. The language of the arbitration shall be English.
Notwithstanding the above, either party may seek interim or injunctive relief from the courts of Singapore (or any other court of competent jurisdiction) to protect its intellectual property or confidential information.
18. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms (including payout obligations) to the extent that such delay or failure is caused by events beyond its reasonable control, including but not limited to: payment processor outages or restrictions, banking disruptions, changes in sanctions or trade compliance laws, acts of government, natural disasters, pandemics, or internet or telecommunications failures. The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.
19. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to any successor entity, affiliate, or acquirer without your consent, provided the assignee assumes our obligations under these Terms.
20. Notices
All notices under these Terms shall be sent by email. Notices to the Company shall be sent to askbetter@claritypractice.coach. Notices to you shall be sent to the email address registered in your Tolt account. You are responsible for keeping your registered email address current. Notices are deemed received when sent, provided the sending party does not receive a delivery failure notification.
21. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
22. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Program. Any prior discussions, representations, or agreements (whether oral or written) are superseded. No amendment or waiver of any provision of these Terms is effective unless in writing and signed by both parties, except for modifications under Section 23.
23. Modifications
We may modify these Terms at any time. We will provide notice of material changes by email to your registered address or by posting on the Program portal. Continued participation after the effective date constitutes acceptance. If you do not agree to the modified Terms, your sole remedy is to terminate your participation under Section 14.
